Wereldhave has been listed on the Amsterdam stock exchange since 1946. As at 5 December 2023, the total number of ordinary shares in circulation amounts to 43,876,129. There are currently no preference shares in circulation. Share ownership is spread among institutional and private investors, both in the Netherlands and abroad. 100% of ordinary shares are free-floating.

Establishment, legal form and articles of association 

Wereldhave was established according to Dutch Law on May 30th, 1930. The articles of association were last amended by deed on 26th April 2018, before D.J. Smit, civil law notary in Amsterdam, the Netherlands.  Wereldhave’s official address is at Schiphol, in the municipality of Haarlemmermeer and it is registered on the trade registry of the Chamber of Commerce under number 27083420. 

The Dutch Financial Markets Supervision Act (Wet op het financieel toezicht) was amended further to the implementation of the European Directive 2011/61/EU on Alternative Investment Fund Managers (the "AIFMD"). Due to this amendment Wereldhave is no longer an investment institution according to Dutch law, as its licence was not concerted before 22nd July 2014. As a result, Wereldhave’s licence as an investment institution ended on 22nd July 2014. Regulations applicable to listed companies, such as those laid down in the Dutch Financial Markets Supervision Act, continue to apply in full. 

Wereldhave has the status of a fiscal investment institution as defined by article 28 of the Corporation Tax Act 1969 (Wet op de vennootschapsbelasting 1969), meaning that under certain conditions no corporate income tax is due.

A KIID (key investor information document) is not required to trade Wereldhave N.V. shares

PRIIPs (Packaged Retail and Insurance-based Investment Products) regulation took effect on 1 January 2018 which requires all qualifying companies/funds to publish a KIID.

Wereldhave is internally managed commercial company with a listing at Euronext Amsterdam. As such, the Company is a perpetual business with flexibility in its business strategy. The PRIIPs regulation does not apply to the Company and there is no requirement to publish a KIID.

Property Valuation

Wereldhave values its properties at market value, subtracting transaction costs. The entire portfolio is valued externally by independent valuers every 30th June and 31st December.
